    Scott Rees is a well-established law firm specialising in personal injury and clinical negligence, with a strong reputation in its field. The owners approached the PM+M corporate finance team as they were exploring options for a strategic exit and were keen to complete a successful sale within a tight timeframe. Despite a range of complexities requiring careful management across both legal and commercial areas, the transaction was successfully achieved. Scott Rees was acquired by Fletchers Solicitors, a private equity–backed buy-and-build law firm.

    PM+M’s corporate finance team advised on the structure of the transaction, including the treatment of associated liabilities and the implementation of a ‘locked box’ sale mechanism, which is somewhat unique for a traditional Partnership but made the deal work, thereby ensuring the client’s interests were protected and the deal price was preserved.
